Terms and Conditions for Ender Protocol Zealy Campaign
Please read these Terms and Conditions carefully before participating in the campaign, which is available at Zealy Campaign Page. By participating, you agree to be bound by these terms and the decisions of the organizers.
1. Definitions
For the purpose of these Terms and Conditions, the following terms shall have the meanings assigned to them below:
1.1 "Campaign" refers to the Ender Protocol Zealy Campaign described in these Terms and Conditions.
1.2 "Ender Labs" refers to Ender Labs Inc, a corporation incorporated and validly operating in the British Virgin Islands, which owns and operates Ender Protocol.
1.3 "Ender Protocol" refers to the blockchain-based platform developed and operated by Ender Labs.
1.4 "Metagaming" refers to Metagaming, Inc., a separate entity incorporated in Delaware, USA, which operates Endworld, a game built on top of and integrated with Ender Protocol.
1.5 "Endworld" refers to the game operated by Metagaming, which is built on top of and integrated with Ender Protocol.
1.6 "Participant" or "User" refers to any individual who participates in the Campaign.
1.7 "USDC" refers to USD Coin, a type of cryptocurrency stablecoin.
1.8 "ENDR" refers to the native governance token of the Ender Protocol.
1.9 "TGE" refers to Token Generation Event, the initial creation and distribution of ENDR tokens.
2. Eligibility
2.1 The campaign is open to individuals who are at least 18 years of age at the time of entry.
2.2 Participants must register using only personal and valid user accounts. The use of multiple accounts or any automated systems to enter the campaign is strictly prohibited and will result in immediate disqualification.
2.3 To ensure compliance with this age requirement, participants may be required to provide a valid government-issued identification for age verification. Ender Labs reserves the right to request additional proof of identity, age, and residency from any participant.
2.4 Failure to provide satisfactory proof within the timeframe specified by Ender Labs will result in disqualification and forfeiture of any participation and prizes won.
2.5 Participation is void in jurisdictions where contests of this nature are prohibited by law.
3. Campaign Period
3.1 The campaign begins on July 1, 2024 at 7 PM UTC (Coordinated Universal Time), and ends on September 30, 2024 at 7 PM UTC (Coordinated Universal Time).
3.2 All entries must be received within this period to be eligible to win prizes.
4. How to Enter
4.1 Participants must register an account on the Zealy Campaign page.
4.2 Each action completed on the campaign's quest board, as outlined on the page, will earn points.
4.3 Each point is equivalent to one entry in the raffle.
5. Prizes
5.1 The following prizes will be awarded:
a) Grand Prizes:
1st Place: One (1) participant who ranks first on the leaderboard will win $1,500 in USDC and 133,333 ENDR tokens.
2nd Place: One (1) participant who ranks second on the leaderboard will win $500 in USDC and 66,669 ENDR tokens.
3rd Place: One (1) participant who ranks third on the leaderboard will win $300 in USDC and 40,000 ENDR tokens.
b) Raffle Prizes:
Seven Winners: $100 in USDC and 13,333 ENDR tokens each, chosen at random from participants who rank within the Top 100 on the leaderboard, excluding the Grand Prize winners.
c) Endworld Founder's Pack:
Twenty (20) participants: The top 20 on the leaderboard will receive the Endworld Founder's Pack, which includes various in-game benefits and items.
5.2 Prizes are non-transferable and no substitution will be made except as provided herein at the Organizer's discretion.
5.3 Payment methods for prizes include USDC and ENDR tokens or other approved cryptocurrencies as specified during the reward process.
6. Endworld In-Game Rewards Terms and Conditions
6.1 Cooperation: Ender Labs, the operator of Ender Protocol, cooperates with Metagaming, the operator of Endworld, to provide integrated rewards. While Ender Labs facilitates the distribution of Endworld rewards, these rewards are subject to Metagaming's terms and conditions.
6.2 Eligibility: To be eligible for the Endworld Founder's Pack and Ender Crystals, participants must rank in the Top 20 of the leaderboard at the end of the Ender Protocol Zealy Campaign.
6.3 Distribution: The Endworld rewards will be credited to the eligible winners' Endworld accounts within 30 days after the launch of the Endworld Metaverse Open world RPG. The launch date of Endworld will be announced separately through official Metagaming communication channels. Winners will be provided with instructions on how to claim their rewards directly from Metagaming.
6.4 Non-transferable: The Endworld Founder's Pack and Ender Crystals are non-transferable and cannot be exchanged for cash or other items. Winners are prohibited from selling, trading, or otherwise transferring their rewards to other players or third parties.
6.5 Expiration: The Ender Crystals will not expire, but the Endworld Founder's Pack and its contents may be subject to expiration as per Endworld's rules and guidelines. Any unused or expired items will not be replaced or compensated.
6.6 Terms of Use: The use of the Endworld rewards is subject to Metagaming's terms of service, end-user license agreement, and any other rules or guidelines associated with the Endworld Metaverse Open world RPG. Winners are responsible for complying with these terms when using their rewards.
6.7 Changes: Metagaming reserves the right to modify, replace, or remove the Endworld rewards if necessary, such as in the case of game updates, balance changes, or technical issues. In such cases, the affected participants will be informed of the changes and any applicable compensation or replacement items, as determined by Metagaming.
6.8 Limitation of Liability: Ender Labs is not responsible for the delivery, use, or any issues arising from the Endworld rewards. Any concerns or disputes regarding Endworld rewards should be directed to Metagaming.
7. Raffle Winner Selection and Notification
7.1 Raffle Winners will be chosen at random from participants ranking in the Top 100 on the leaderboard (excluding Grand Prize winners) using a computer-generated system to ensure fairness. The draw will occur within one week following the end of the campaign, after which points are fully processed.
7.2 Raffle Winners will be notified via email within five (5) business days of the draw.
7.3 If a Raffle Winner cannot be contacted or does not claim the prize within fourteen (14) days of notification, we reserve the right to withdraw the prize from that winner and select a replacement winner through another random draw from the eligible participants.
7.4 Should the replacement winner also fail to claim the prize within fourteen (14) days of their notification, Ender Labs reserves the right to either conduct another draw to select a new winner or to reclaim the unclaimed prize. This reclaimed prize may be used at Ender Labs' discretion for future campaigns, community initiatives, or other purposes related to the Ender Protocol ecosystem.
7.5 This process will continue up to a maximum of three drawing attempts for each unclaimed Raffle Prize. If a winner is not finalized after three attempts for any particular prize, the unclaimed reward will be reclaimed by Ender Labs.
7.6 Grand Prize winners (1st, 2nd, and 3rd place on the leaderboard) are not eligible for Raffle Prizes and are subject to separate notification and claim procedures as outlined in Section 8 of these Terms and Conditions.
8. Grand Prize Winner Selection and Notification
8.1 Grand Prize winners (1st, 2nd, and 3rd place) will be determined based on their final ranking on the Zealy Campaign leaderboard at the conclusion of the campaign period.
8.2 The leaderboard rankings will be finalized within 72 hours after the campaign end date to allow for final point calculations and verification.
8.3 Grand Prize winners will be notified via email within five (5) business days of the leaderboard finalization.
8.4 Grand Prize winners must claim their prize within fourteen (14) days of notification by responding to the email and providing any requested information for prize distribution.
8.5 If a Grand Prize winner cannot be contacted, does not respond, or does not claim the prize within the fourteen (14) day period, Ender Labs reserves the right to award the prize to the next highest-ranking eligible participant on the leaderboard.
8.6 In the event that a replacement winner is selected, they will have fourteen (14) days from the date of notification to claim the prize.
8.7 If Ender Labs is unable to find a winner to claim the Grand Prize within 30 days of the initial winner notification, despite following the process outlined in clauses 8.5 and 8.6, the unclaimed reward will be reclaimed by Ender Labs. This reclaimed reward may be used at Ender Labs' discretion for future campaigns, community initiatives, or other purposes related to the Ender Protocol ecosystem.
8.8 Grand Prize winners may be required to complete additional verification steps, including but not limited to identity verification and compliance with applicable laws and regulations, before receiving their prizes.
8.9 Grand Prize winners are not eligible for Raffle Prizes. In the event that a Grand Prize winner is selected in the raffle draw, a redraw will occur to select another eligible participant.
9. Payment Eligibility and Terms
9.1 Participants must meet specific follower count requirements for certain quests as outlined in the campaign descriptions.
9.2 Payments are contingent on the approval of the submitted content. Content that does not meet quality standards or fails to adhere to the campaign guidelines will not be paid.
9.3 Payment amounts are based on the engagement metrics specified in the quest descriptions and are subject to maximum limits as indicated.
9.4 Payments will be processed within 30 days post-campaign, provided all conditions are met and the content is approved.
9.5 Participants are responsible for providing accurate and complete payment information.
10. Prize Distribution Timeline
10.1 USDC Prizes: a) USDC prizes will be credited to winners' accounts within three months after the campaign ends. b) Notwithstanding the above, USDC prizes will be distributed to winners within 30 days of the winner verification process being completed, whichever comes first.
10.2 ENDR Token Prizes: ENDR tokens will be awarded within one month following our Token Generation Event (TGE).
10.3 TGE Date: The date of the Token Generation Event (TGE) will be announced separately. Participants are encouraged to stay updated through official Ender Protocol communication channels for information regarding the TGE.
10.4 Verification Process: Winners may be required to complete a verification process, which may include providing identification, completing know-your-customer (KYC) procedures, or other necessary steps as determined by Ender Labs. The verification process must be completed within the three-month period following the end of the campaign, unless otherwise specified by Ender Labs.
10.5 Modification of Timeline: Ender Labs reserves the right to modify these timelines in case of unforeseen circumstances or regulatory requirements. Any changes to the distribution timeline will be communicated to the winners through the contact information provided during the campaign.
10.6 Participant Responsibility: Winners are responsible for ensuring that they provide accurate and up-to-date contact and wallet information for prize distribution and complete the verification process in a timely manner. Failure to provide correct information or complete verification may result in forfeiture of prizes.
11. Campaign Reward Qualification
11.1 To qualify for rewards in the Zealy Campaign, participants must collectively contribute at least one hundred and fifty thousand dollars ($150,000) in deposits to the bonds on the mainnet application of Ender Protocol during the campaign period.
11.2 The collective contribution will be tracked based on the on-chain deposits into the Ender Bonds via the Ender Bond contract. Participants are strongly advised to verify this address independently before interacting with it.
11.3 The total value will be calculated in ETH and converted to USD based on the globally indexed market price of ETH on all major exchanges. The initial value will be recorded at the start of the campaign, and the final value will be determined at the end of the campaign.
11.4 If this deposit threshold is not met, no rewards will be distributed, the campaign may be considered void, and all further claims related to rewards will be nullified.
12. Integration of Previous Campaign and Reward Restructuring
12.1 Campaign Continuation: This Campaign represents a continuation and significant expansion of our previous Ender Protocol Zealy campaign. It should be considered as Phase 2 of an ongoing community engagement initiative.
12.2 Reward Restructuring: As part of this continuation, the reward structure has been completely redesigned to align with our updated tokenomics and community engagement strategy. This new structure supersedes all previous reward announcements or expectations.
12.3 Previous Participation Acknowledgment: Participants from the initial phase of our campaign will receive: a) The opportunity to claim bonus points via specific quests in the Miscellaneous module of this Campaign. b) Immediate receipt of the Discord roles 'Endermorph' and 'Ender OG', recognizing their early engagement.
12.4 No Existing Reward Claims: By participating in this Campaign, users acknowledge and agree that no rewards from the initial phase have been distributed or are due. All potential rewards are now incorporated into this expanded Campaign structure and are yet to be earned.
12.5 New Reward Eligibility: All participants, including those from the initial phase, are eligible to earn rewards under this new structure. Previous participation does not guarantee any specific rewards in this expanded Campaign.
12.6 Final Authority: Ender Labs retains sole discretion in determining the implementation of the acknowledgments described in section 11.3 and the distribution of all Campaign rewards.
13. General Conditions
13.1 Ender Labs reserves the right to cancel, suspend and/or modify the Campaign, or any part of it, if any fraud, technical failures, or any other factor beyond Ender Labs' reasonable control impairs the integrity or proper functioning of the Campaign, as determined by Ender Labs in its sole discretion.
13.2 Ender Labs reserves the right to update these Terms and Conditions during the campaign. Participants will be notified of any changes.
14. Cryptocurrency Regulations and Compliance
14.1 Participants are responsible for ensuring their compliance with all local, state, and national laws and regulations regarding the receipt and use of cryptocurrency rewards.
14.2 Ender Labs reserves the right to withhold or modify rewards in cases where the distribution of cryptocurrency prizes may conflict with applicable laws or regulations in the participant's jurisdiction.
14.3 Winners may be required to provide additional information or complete certain procedures to comply with applicable know-your-customer (KYC) and anti-money laundering (AML) regulations before receiving their cryptocurrency rewards.
15. Acknowledgment of Risks and Disclaimer of Liability
15.1 Smart Contract and DeFi Risks: Participants acknowledge that interacting with DeFi protocols and smart contracts carries inherent risks. By participating in campaign quests that involve making deposits into a DeFi protocol smart contract, participants accept the risk of digital asset exposure, which can include but is not limited to, losses due to smart contract failure, exploits, hacking incidents, severe market volatility, or loss of value.
15.2 Disclaimer of Liability: Ender Labs is not responsible for any losses, damages, or claims that arise as a result of participants' engagement with any DeFi protocol or smart contract used during the campaign. This includes any financial losses, technical failures, or other operational issues within the DeFi platforms or smart contracts.
15.3 Advice and Recommendations: Participants are strongly advised to perform their due diligence and consult with financial, legal, and tax advisors before engaging in activities involving DeFi protocols and smart contracts. Ender Labs does not provide any form of financial or investment advice as part of this campaign.
15.4 Endworld Rewards: Ender Labs facilitates the distribution of Endworld rewards as part of this campaign. However, these rewards are provided by Metagaming, a separate entity. Ender Labs is not responsible for any issues, disputes, or liabilities arising from the use of Endworld rewards or participation in the Endworld game.
16. Code of Conduct
16.1 Participants are expected to conduct themselves with respect and honesty at all times during the campaign.
16.2 Harassment, abuse, or any form of discrimination will not be tolerated.
16.3 Any participant found engaging in misconduct may be disqualified from the campaign at Ender Labs' discretion.
16.4 Further actions, including banning from future campaigns and legal action, may be taken if deemed necessary.
17. Intellectual Property
17.1 Participants must ensure their submissions do not infringe upon any third-party intellectual property rights and have the necessary rights to grant the usage permissions to Ender Labs.
17.2 Participants grant Ender Labs a non-exclusive, royalty-free, perpetual, and irrevocable right to use, reproduce, modify, and distribute submitted content for promotional purposes.
17.3 Participants warrant that their submissions are their original work or that they have all necessary rights to grant these permissions.
18. Taxes
18.1 Winners are solely responsible for any and all taxes, fees, or other costs associated with the receipt and use of any prize.
19. Limitations of Liability
19.1 Ender Labs is not responsible for: a) Any incorrect or inaccurate information, whether caused by participants, printing errors, or by any of the equipment or programming associated with or utilized in the Campaign; b) Technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; c) Unauthorized human intervention in any part of the entry process or the Campaign; d) Technical or human error which may occur in the administration of the Campaign or the processing of entries; e) Any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from participant's participation in the Campaign or receipt or use or misuse of any prize.
20. Indemnification
19.1 Participants agree to indemnify and hold harmless Ender Labs and its affiliates, officers, agents, employees, and partners from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of participants' breach of these Terms and Conditions, their improper use of Ender Labs' services, or their breach of any law or the rights of a third party.
21. Force Majeure
21.1 Neither Ender Labs nor the participants shall be held liable for failure to perform any obligation under these Terms and Conditions if such failure is caused by the occurrence of unforeseen contingencies beyond the reasonable control of the affected party, including but not limited to Internet failures, computer equipment failures, telecommunication equipment failures, other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, flood, storms, explosions, acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals, or non-performance of third parties.
21.2 Participants acknowledge that such events may result in the campaign being delayed, postponed, or canceled, and agree that Ender Labs is not liable for any such disruptions caused by conditions beyond its reasonable control.
22. Data Protection
22.1 Personal information collected from participants is subject to the privacy policy published on the Ender Protocol website and will be used only for the purpose of administering the Campaign and awarding the prizes.
22.2 Ender Labs complies with applicable data protection laws, including but not limited to the General Data Protection Regulation (GDPR) for participants in the European Union and the California Consumer Privacy Act (CCPA) for California residents.
22.3 Participants have the right to access, correct, or request deletion of their personal data. Such requests can be made by contacting Ender Labs through the channels provided in Section 24.
22.4 By participating in this campaign, participants consent to the collection, processing, and storage of their personal data for the purposes of this campaign and as outlined in the Ender Protocol Privacy Policy.
23. Governing Law and Dispute Resolution
23.1 These Terms and all materials resulting directly or indirectly therefrom shall be governed by, and construed in accordance with, the laws of the British Virgin Islands, without regard to its conflict of laws principles.
23.2 All issues and questions concerning the construction, validity, interpretation, and enforceability of these Terms, or the rights and obligations of the participant and Ender Labs in connection with the Website and any associated campaigns, shall be governed by, and construed in accordance with, the laws of the British Virgin Islands.
23.3 All disputes arising out of or relating to these Terms, including their formation, interpretation, breach, termination, or invalidity, shall be initially resolved through arbitration.
23.4 The arbitration shall be conducted under the Rules of the London Court of International Arbitration (LCIA) by three arbitrators appointed in accordance with these Rules. The seat of arbitration shall be London, United Kingdom, and the proceedings shall be conducted in the English language.
23.5 The arbitration will be conducted in English, and the decision of the arbitrators will be final and binding upon all parties. Judgment upon the award rendered by the arbitrators may be entered in any court having jurisdiction thereof.
23.6 Should arbitration fail to resolve the dispute, or for any matters not subject to arbitration under applicable law, parties have the right to pursue further legal action through the courts in the British Virgin Islands.
23.7 Notwithstanding the foregoing, Ender Labs may seek injunctive or other equitable relief to protect its intellectual property rights in any court of competent jurisdiction.
23.8 Each party hereby irrevocably submits to the exclusive jurisdiction of the courts of the British Virgin Islands for any action or proceeding regarding the enforcement of an arbitration award or for any matters not subject to arbitration under applicable law.
23.9 For any legal proceedings that may arise and are not subject to arbitration, the courts of the British Virgin Islands shall have exclusive jurisdiction.

25. Withdrawal from the Campaign
25.1 Participants have the right to withdraw from the Campaign at any time before the campaign end date specified in Section 3.1.
25.2 To withdraw, participants must send a written notice of withdrawal to the email address provided in Section 24.
25.3 Upon withdrawal, all points accumulated by the participant will be forfeited, and the participant will no longer be eligible for any prizes.
25.4 Any contributions made to the Ender Bonds as part of the Campaign before withdrawal will remain valid and cannot be reversed as they are blockchain transactions.
25.5 Withdrawal from the Campaign does not affect the validity of any blockchain transactions or contributions made prior to withdrawal.
25.6 Ender Labs reserves the right to retain and use any content or submissions made by the participant prior to withdrawal, in accordance with Section 17 of these Terms and Conditions.
26. Acceptance of Terms
By entering this Campaign, participants agree to abide by these Terms and Conditions and the decisions of Ender Labs, which are final and binding.
